End User License Agreement

Effective date: June 21, 2026

This End User License Agreement ("EULA") is between Enterprise Synthetic Co., a Nevada corporation ("Company," "we," "us"), and the organization licensing the software ("you," "your"). It governs the ProtoTab DE browser client application and container image (together, the "Software"). It supplements the Terms of Service ("Terms"); on matters of software licensing, this EULA controls if it conflicts with the Terms.

1. License Grant

Subject to your compliance with this EULA and the Terms and your payment of applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable license, for the duration of your subscription term, to install and use the Software for your organization's internal business purposes, with unlimited users and unlimited container instances within your organization.

2. Restrictions; Reverse Engineering and Decompilation

You will not, and will not permit any user, contractor, or third party to:

Interoperability carve-out. The restriction in (a) applies except to the limited extent that applicable law grants you a non-waivable right to decompile solely to achieve interoperability of an independently created program, and then only after you have requested the necessary interoperability information from us and we have failed to make it available within a reasonable time.

3. Ownership

The Software is licensed, not sold. We and our licensors retain all right, title, and interest in and to the Software and all intellectual property rights therein. You retain ownership of your business data and the outputs you generate, subject to the Terms (including the Synthetic Data internal-use restriction in Terms §5).

4. Synthetic Data

Your generation and use of synthetic data is governed by Terms §5 (Synthetic Data — Internal Use Only; No Guarantees), incorporated here by reference — including that no synthetic data can be guaranteed safe and that Company has no visibility into, or control over, your environment, container, configurations, or inputs.

5. Updates

The browser client updates automatically by refreshing the version cached in your browser. The container image is customer-managed and updated by you, on your schedule, within your infrastructure. We are not obligated to provide updates; any update we do provide is part of the Software and governed by this EULA.

6. Term and Termination

This license is effective for your subscription term and terminates automatically on expiration or cancellation of your subscription, or immediately upon your breach of Section 2. On termination, you must stop using the Software and delete all copies in your control, including any downloaded container images. Your retained business data and previously generated outputs are unaffected. Sections 2, 3, 7, 8, and 9 survive termination.

7. Disclaimers; Limitation of Liability

The Software is provided "AS IS" without warranty of any kind, and our liability is limited, each as set out in Terms §10 and §11, which apply equally to this EULA.

8. U.S. Government Rights; Export

The Software is "commercial computer software" and "commercial computer software documentation" as those terms are used in U.S. federal procurement. You will comply with all applicable export-control and sanctions laws and will not export, re-export, or use the Software in violation of them.

9. Governing Law

This EULA is governed by the laws of the State of Nevada, excluding its conflict-of-laws rules.
