Terms of Service
These Terms of Service ("Terms") are a binding agreement between Enterprise Synthetic Co., a Nevada corporation ("Company," "we," "us," "our"), and the organization that subscribes to or uses ProtoTab DE ("Customer," "you," "your"). By signing up, accepting these Terms, or using the Service, you agree to them. If you accept on behalf of an organization, you represent that you are authorized to bind it. These Terms incorporate the End User License Agreement ("EULA") and the Privacy Policy.
1. The Service
ProtoTab DE (the "Service") is a data-engineering and synthetic-data platform consisting of (a) a browser-based client application that runs entirely on your devices and (b) an optional container image that you deploy and operate within your own infrastructure. The Service is designed so that your data does not leave your environment — computation occurs locally in the browser or on your self-managed container. We do not host, process, access, or store your business data, and the Service contains no telemetry, analytics, or callbacks.
2. Accounts and Provisioning
At signup we create a billing record with our payment processor and provision a dedicated access URL for your organization. Access is provisioned at signup and is not contingent on payment having cleared. You are responsible for your users' use of the Service and for the confidentiality of any access URL or credentials.
3. Fees, Invoicing, and Term
3.1 Subscription. The Service is licensed on an annual subscription for the fee presented at signup (currently US$50,000/year), covering unlimited users and unlimited container instances within your organization.
3.2 Invoicing. Your first invoice is issued approximately 32 days after signup on net-30 terms (or the net term stated on your order). Payment is by ACH, wire, or other invoice-based method; we do not accept cards for enterprise invoicing. Any purchase-order number you provide is printed on the invoice for your reference and does not modify these Terms.
3.3 Annual term and renewal. Each term is one year and renews automatically for successive one-year terms unless cancelled under Section 4. Renewal invoices are issued approximately one month before each renewal date.
3.4 Taxes. Fees are exclusive of taxes; you are responsible for all applicable taxes other than taxes on our net income.
4. Cancellation, Anti-Lock-In, and Refunds
4.1 Cancel anytime. You may cancel at any time, for any reason, by notifying us at hello@enterprisesynthetic.com. We will deactivate your access promptly on request. We do not impose lock-in, exit fees, or retention hurdles.
4.2 Within 90 days. If you cancel within 90 days of your initial signup, you will receive a full refund of any amounts paid for the then-current term, and any unpaid invoice for that term will be cancelled.
4.3 After 90 days. If you cancel after 90 days, the fee for the current annual term is non-refundable and is not prorated, and no further terms will be invoiced. Consistent with our anti-lock-in policy, you may stop using the Service and have your access deactivated at any time; doing so does not entitle you to a refund or credit for the remainder of the paid term.
4.4 On cancellation we deactivate your access URL and handle your billing record as described in the Privacy Policy. Synthetic Data and other outputs already in your possession remain yours, subject to these Terms.
5. Synthetic Data — Internal Use Only; No Guarantees
5.1 Purpose. The Service lets you generate synthetic data ("Synthetic Data"). Automated synthetic-data generation — including Enterprise Synthetic Co.'s ProtoTab product(s) — is intended for convenience and cost reduction in your internal workflows, not for public distribution. Synthetic Data is licensed and intended solely for your organization's internal business use. You may not sell, sublicense, redistribute, publish, or otherwise provide Synthetic Data to any third party.
5.2 No guarantee of safety. No synthetic data can be guaranteed to be safe. Automated generation can, by chance, produce records that resemble — or coincide with — real persons, entities, or records, notwithstanding that they were fabricated. We make no representation or warranty that Synthetic Data is accurate, statistically representative, free of resemblance to or coincidence with real persons or records, de-identified, anonymized, or suitable for any particular purpose, and we disclaim all warranties as to its fitness for any privacy, security, regulatory, legal, or compliance purpose.
5.3 No visibility, therefore no guarantee. The Service runs entirely within your environment (your browser and your self-managed container). Enterprise Synthetic Co. has no visibility into, or control over, the conditions, configurations, input data, or other software present in your environment or container, and therefore cannot and does not guarantee the privacy, safety, or security of any Synthetic Data you generate.
5.4 Your responsibility. You are solely responsible for reviewing and validating Synthetic Data before any use, for the configurations and inputs you choose, and for ensuring your generation and use comply with all applicable laws, including privacy and data-protection laws. Synthetic Data is provided "AS IS."
5.5 Process and compatibility. Automated synthesis uses the characteristics and properties of your real source data to inform the de-identification and synthesis process, entirely within your environment. Not all source data is compatible: some columns, files, or tables may fail to synthesize with the Service's application code. Where this occurs, data cleansing and/or other modifications to your source data may be necessary for successful synthesis. We do not warrant that any particular dataset, column, file, or table will synthesize successfully; preparing and remediating your source data for synthesis is your responsibility.
6. Support and Performance
6.1 Support. Support is provided on a best-effort, community basis only, through our designated community forum. We do not provide staffed, individualized, or guaranteed support and have no obligation to respond to any inquiry or to do so within any timeframe. There is no support service-level agreement. Premium support, if offered, is a separate paid add-on governed by its own terms.
6.2 Performance and infrastructure; no SLA or SLO. The Service runs on infrastructure that you select, deploy, manage, and configure — both the customer-deployed and -managed container/server and the end-user workstations on which the browser client runs, each selected, managed, and configured by you or your IT support vendor. We provide recommended sizing and configuration guidance, but the choice, operation, and state of that infrastructure are yours. Accordingly, performance — including synthesis request/response and completion times, and any crashes, oversubscription, or resource constraints — is your responsibility, as are issues and failures arising from compute, memory, storage, or network bottlenecks; sizing or configuration choices; serverless or on-demand scaling; and the configuration, performance, or state of any end-user workstation. No service-level agreement (SLA) or service-level objective (SLO) is expressed or implied, and we do not warrant any throughput, latency, completion time, uptime, or availability.
7. License; Restrictions; Reverse Engineering
Your use of the software is governed by the EULA, incorporated by reference. Without limiting it, you agree not to (a) reverse engineer, decompile, disassemble, deobfuscate, or otherwise attempt to derive the source code, model weights, or underlying ideas of the Service or container image, except to the limited extent applicable law expressly permits notwithstanding this restriction (see EULA §2); (b) circumvent or tamper with any license, access, or technical protection, including your per-organization access URL and the browser-cache delivery mechanism; (c) resell, sublicense, rent, lease, or provide the Service to third parties as a service bureau; (d) remove or alter proprietary notices; or (e) use the Service in violation of law.
8. Intellectual Property
We and our licensors own all right, title, and interest in the Service and software. You own your business data and the outputs you generate (including Synthetic Data), subject to the restrictions in these Terms. No rights are granted except as expressly stated.
9. Data and Privacy
We do not process or have access to your business data. The only personal data we process is the billing and contact information you provide, which we store with our payment processor, Stripe — our sole billing sub-processor — for billing purposes only. See the Privacy Policy for details.
10. Disclaimers
THE SERVICE AND ALL OUTPUTS, INCLUDING SYNTHETIC DATA, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. THERE IS NO UPTIME, PERFORMANCE, OR SUPPORT SERVICE-LEVEL COMMITMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You will defend, indemnify, and hold harmless the Company and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your or your users' use or misuse of the Service or any Synthetic Data; (b) your business data, source data, configurations, or inputs; (c) your distribution or use of Synthetic Data in violation of Section 5 or applicable law; or (d) your breach of these Terms or the EULA. Because the Company has no access to your data, environment, or configurations, you assume responsibility for your use of the Service and any outputs you generate.
13. Term and Termination
We may suspend or terminate the Service for material breach (including non-payment or breach of Section 7 or the EULA) on 30 days' written notice and an opportunity to cure, or immediately for unlawful use. On termination, your license ends and access is deactivated; your retained business data and outputs are unaffected.
14. Governing Law
These Terms are governed by the laws of the State of Nevada, excluding its conflict-of-laws rules.
15. Changes to These Terms
We may update these Terms. Material changes take effect at your next renewal; your continued use after that constitutes acceptance.
